Terms of Service

These Terms of Service (“Terms”) govern your use of the TessDrive device, its software and updates, the TessDrive website, and the TessDrive icon library and any related services (together, the “Service”). By buying, activating, or using any part of the Service, you agree to these Terms. If you do not agree, do not use the Service.

Who we are

TessDrive is an independent, small-batch product operated by TessDrive LLC, a Missouri limited liability company (“TessDrive,” “we,” “us,” or “our”). You can reach us any time at [email protected].

What the Service is

TessDrive is a local, in-vehicle streaming appliance that runs Android and connects to your Tesla’s built-in web browser. The Service also includes this website, over-the-air (OTA) software updates, an optional beta-tester portal, and a shared icon library from which you can browse and add app icons. TessDrive is a media and convenience device; it is not a safety, navigation, or vehicle-control system. See our Legal Disclaimer.

Eligibility & accounts

You must be able to form a binding contract to use the Service. Some features (such as the beta-tester portal) may require an account. You are responsible for keeping your account credentials and your device secure, and for all activity under your account. Notify us promptly of any unauthorized use.

Orders, pricing & fulfillment

Devices may be offered through crowdfunding (such as Kickstarter), pre-order, or direct sale. Prices, specifications, availability, and estimated delivery dates are subject to change and may be affected by supply, manufacturing, and shipping conditions outside our control. Crowdfunding pledges are also subject to the rules of the platform through which they are made. Returns and refunds, where offered, are governed by the return policy applicable to your place of purchase.

License to use the software

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to use the TessDrive software as installed on your device, for your own personal, non-commercial use. Except as permitted by applicable law or by the open-source licenses of individual components (see Open Source Licenses), you may not resell, redistribute, or commercially exploit the Service. The Service is licensed, not sold, and we and our licensors retain all rights not expressly granted.

Software updates

TessDrive may deliver automatic OTA updates to keep the Service working, secure, and compatible. Updates may add, change, or remove features. We do not guarantee that any particular feature, app, or level of compatibility will remain available, as third-party services and vehicles change over time.

Acceptable use

You agree not to: (a) use the Service to violate any law or the rights of others; (b) attempt to circumvent, disable, or defeat digital rights management (DRM), access controls, or the terms of any third-party service, app, or content; (c) interfere with, overload, probe, or attempt to gain unauthorized access to the Service or its infrastructure; (d) resell access to, or commercially redistribute, the Service or its hosted content; or (e) use the Service in any way that could distract a driver or compromise the safe or lawful operation of a vehicle.

Third-party services & content

TessDrive lets you run third-party apps and access third-party streaming services and websites. We do not own, control, or endorse that content, and your use of it is governed by those third parties’ own terms and policies. Streaming quality and app availability are determined by those services and by your internet connection, and are not guaranteed. TessDrive does not circumvent DRM; content plays within the quality tier each app permits.

Icon library & user-submitted content

The Service includes an icon library to which users may contribute images (“User Content”). You are solely responsible for the User Content you submit. By submitting User Content, you represent and warrant that:

• you own it or have all rights and permissions necessary to submit and share it; and
• it does not infringe any copyright, trademark, or other right, and does not violate any law or these Terms.

You grant TessDrive a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your User Content within the Service so that it can be browsed and applied by TessDrive users. You may request removal of content you submitted at any time.

You may not submit content that is unlawful, infringing, deceptive, malicious, or offensive. Icons are published automatically, but we may review, hide, or remove any User Content at our discretion, including in response to a report or a copyright complaint. App names and logos are the trademarks of their respective owners; TessDrive claims no ownership of them, and their presence in the library does not imply any affiliation or endorsement. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. TessDrive is not a safety-critical system and must never be relied upon for the safe operation of a vehicle. Full details are in our Legal Disclaimer, which is incorporated into these Terms.

Limitation of liability

To the fullest extent permitted by law, TessDrive and its owners, contributors, and suppliers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of data, profits, or goodwill, arising from or related to the Service. To the fullest extent permitted by law, our total liability for any claim relating to the Service shall not exceed the amount you paid for the device giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless TessDrive and its owners and contributors from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your violation of these Terms or of any law or third-party right.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Material changes will be reflected here, and your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

Governing law & disputes

These Terms are governed by the laws of the State of Missouri, United States, without regard to its conflict-of-law principles. You agree that any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in or serving Madison County, Missouri, and you consent to their jurisdiction, except where prohibited by applicable law.
